PARTICIPATION AGREEMENT

This Participation Agreement (“Agreement”) is entered into by and between the Advertiser (“Client”) and Pulse Media (“Publisher”), for placement of advertising on The Local Spotlight™ shared mailer (“Mailer”) delivered via USPS to approximately 5,000 households in the specified mailing zone.

1. Scope of Service
Pulse Media agrees to design, print, and distribute a professionally designed shared mailer ad (“Ad”) on behalf of the Client, in accordance with the size, layout, and delivery schedule specified.

-Client will receive one (1) dedicated ad space per campaign cycle.

-Each mailer is distributed to a targeted geographic zone as determined by Pulse Media.

-Client may choose to participate in one (1) or multiple future mailings.

2. Ad Design & Proofing

If Client opts for done-for-you design, Pulse Media will create one (1) ad design based on assets and content submitted by the Client. Client will receive a digital proof for review and must approve in writing (email is acceptable). If Client does not respond within the stated deadline, Pulse Media reserves the right to proceed with the latest proof as final. Any major revisions after proof approval may incur additional design fees.

3. Content Submission
Client is responsible for timely submission of the following:

-Business name, contact information, and website/landing page
-Headline/offer/call-to-action

-Logo and imagery in high-resolution format

-Any disclaimers or fine print (if required)

Failure to submit by the deadline may result in removal from the mailer with no refund.

4. Mailing Details

Mailers are delivered via USPS to the selected target ZIPs and routes, reaching approximately 5,000 homes per drop. Delivery dates are estimated and may vary by 1–2 business days due to USPS handling. Client will receive confirmation of print and mailing once available.

5. Payment Terms

Payment is due in full at the time of booking to secure ad space. No space is held without payment. All payments are non-refundable once the proof deadline has passed or the job has gone to print.

6. Ad Guidelines & Restrictions

Pulse Media reserves the right to reject any ad that includes misleading claims, inappropriate content, or competitor conflicts.

One business per ad space unless otherwise approved in writing. Ad content must comply with all applicable local, state, and federal laws.

7. Limited Liability
Pulse Media makes no guarantees of customer response, revenue increase, or ROI. While mailers are designed for optimal exposure, results vary based on ad quality, offer strength, and timing. In no event shall Pulse Media be liable for any damages beyond the amount paid by the Client for the specific mailer campaign.

8. Future Participation

Participation in one round does not guarantee future availability. Category exclusivity is honored per card (e.g., only one pressure washer per zone), and spots are reserved on a first-come, first-paid basis.

9. Client Agreement

Client agrees to the terms above and authorizes Pulse Media to design, print, and distribute the agreed-upon advertisement.

GENERAL TERMS

1. Overview

The Go Local Spotlight, a DBA of Pulse Media LLC, (“Company”, “we”, “us”, or “our”) provides cooperative direct mail advertising services to local businesses, including postcard placement, ad design, and promotional campaigns. These services are governed by the following terms. By using this website or purchasing ad space, you (“Client”, “Advertiser”, or “User”) agree to these Terms & Conditions.

2. Services, Ad Placement & Exclusivity

We facilitate service facilitation for 9×12 advertising through online forms, communications, and links for scheduling, payments, or signatures. All ad spaces are first come, first served and limited to one business per category per postcard.

The Company reserves the right to define category boundaries (e.g., "plumber" vs. "handyman"). Reserving an ad space guarantees category exclusivity for that card only and does not extend to future mailers unless you are on a subscription plan.

3. Payments, Cancellations & Refunds

Payment must be made in full before your ad is placed in the upcoming campaign. All sales are final. Because we pre-purchase printing and mailing services, we do not offer refunds once the artwork deadline has passed. If you cancel prior to the design/print deadline, you may receive a credit toward a future mailer, at our discretion. Subscriptions require 30 days notice to cancel. Payments via Stripe; applicable messaging and data rates apply.

4. Ad Design & Approval

All ads include one free professional design. Clients may submit their own artwork if it meets our design specs (provided upon request). All ads must be approved before printing. Final approval is the advertiser’s responsibility. The Company is not liable for typos, outdated offers, or incorrect contact details once approved.

5. Mailing & Delivery Disclaimer

The Go Local Spotlight™ guarantees delivery to the approximant number of households stated per campaign, based on USPS Every Door Direct Mail (EDDM) or similar. We are not responsible for postal delays or errors once the postcards enter the mail stream. The Company does not guarantee any specific number of leads, sales, or redemptions.

6. Appropriate Content

We reserve the right to reject or request edits for any ad that includes:

- Inappropriate, misleading, or illegal claims

- Offensive, sexually explicit, or discriminatory content

- Political endorsements or religious solicitation

7. Intellectual Property

All custom-designed ads remain the property of The Go Local Spotlight unless otherwise negotiated in writing. Clients may request reuse or adaptation for other media.

8. Website Use

You agree not to use our website to:

- Violate any local, state, or federal law

- Attempt to gain unauthorized access to other systems

- Transmit harmful or malicious code

We reserve the right to suspend or restrict access for violation of these terms.

9. Limitation of Liability

To the fullest extent permitted by law, The Go Local Spotlight shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or website. Our services are provided "as is." We make no guarantees regarding uptime or accuracy. We are not liable for indirect, incidental, or consequential damages.

10. Modifications

We reserve the right to update or modify these Terms & Conditions at any time. Any changes will be effective immediately upon posting. Continued use of the site constitutes acceptance of those changes.

11. Governing Law

These Terms are governed by Colorado law. Disputes will be settled in courts of Denver County, CO.
